Terms & Conditions – Brousseau Design

1. Services & Deliverables

Brousseau Design (“we,” “us,” or “our”) provides website design, hosting, SEO, branding, and related digital services (“Services”) as outlined in a separately agreed quotation or proposal (“Proposal”). Deliverables include design files, copy, and media (“Deliverables”) per the project scope specified in the Proposal.

2. Acceptance & Amendments

By approving the Proposal or placing a deposit, the Client confirms acceptance of these Terms & Conditions. Any changes or additions to the project scope must be submitted in writing and may incur additional fees.

3. Timeline & Revisions

We will provide an estimated timeline in the Proposal. Delays caused by the Client—such as late content delivery or delayed feedback—may affect the schedule. The Proposal includes a specified number of revision rounds; additional revisions may require extra fees.

4. Payment Terms

A deposit (typically 50%) is due upon project commencement, with the balance due at project launch or completion, as indicated in the Proposal. Late payments may incur interest or project hold.
Hosting and maintenance fees—if applicable—are billed per the agreed-upon schedule.

5. Client Responsibilities

The Client agrees to provide all necessary content, branding materials, access credentials, and timely feedback. We are not responsible for delays if materials are incomplete or late.

6. Ownership & Licensing

Upon full payment, the Client owns the final deliverables. We retain the right to showcase the project in our portfolio unless both parties agree otherwise. Third-party assets remain subject to their original licenses and terms.

7. Hosting & Maintenance (if applicable)

If we provide hosting services, we guarantee reasonable uptime and daily backups. Emergency support and maintenance tasks (e.g., security updates) are included per the agreed package; tasks outside the scope may incur additional charges.

8. Warranties & Limitations of Liability

We strive to deliver high-quality, functional websites, but cannot guarantee specific search engine rankings, uninterrupted performance, or content performance. We are not liable for indirect damages, loss of revenue, or service interruptions beyond our control.

9. Confidentiality

Both parties agree to keep confidential information private and to use it only for project-related purposes.

10. Termination

Either party may terminate the project in writing with seven days’ notice. In case of termination, the Client is responsible for payment of delivered work, time spent on revisions, and costs incurred.

11. Dispute Resolution & Governing Law

Any disputes will first be addressed in good faith through negotiation. This agreement is governed by the laws of Prince Edward Island, Canada.
